Job Description

WhiteFox is seeking a Director of Contracts with significant domestic, international and commercial contracting experience to include contracting experience with U.S. Government agencies (e.g., DoD & FAA), state and local government agencies, foreign government agencies and foreign/domestic commercial entities. The ideal candidate is self-motivated, creative and resourceful to meet the needs of a fast-growing, fast-paced company. Effective communication skills, written and oral, internal and external, are crucial. A successful candidate will demonstrate high integrity; values-based decision making, and a collaborative style and personality. Demonstrated expertise in establishing and supporting strong contractual relationships and managing complex contracts and agreements with a diverse customer base.

Responsibilities

  • Leading the Contracts Organization in the review of Requests for Proposals (RFPs), proposal submittals, contract negotiations, contract management (to include change order management) and contract closures.
  • Negotiate and administer various business agreements to include but not limited to Non-Disclosure Agreements, Consulting Agreements and Teaming Agreements.
  • Active involvement with the Company in support of export authorizations to include export licenses and exemptions, Technical Assistance Agreements (TAAs) and Manufacturing License Agreements (MLAs)
  • Ability to develop a working knowledge of procurement policies and procedures of a wide range of domestic and foreign governmental agencies.
  • Support the contract proposal process, beginning with the comprehensive review of the RFP or other customer requests, providing advice to the proposal team regarding contract requirements and clauses, through the generation of proposal volumes and price support documentation. 
  • Participate in team reviews and peer review proposals for completeness, responsiveness, and accuracy.
  • Review, interpret, recommend, and negotiate contractual terms and conditions in accordance with company policies and objectives, procurement regulations, and customer requirements.
  • Advise management and internal customers of the risks and obligations of applicable procurement regulations, including the Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and other regulations applicable to a particular business pursuit.
  • Perform intellectual property protection practices, including review of data deliverable markings and drafting of Government technical data/software rights assertions.
  • Prime interface with the customer's procurement representative (Contracting Officers, Procurement Managers, DCAA/DCMA, etc.)
  • Create and maintain auditable contract files, and respond to Government audit requests.
  • Monitor contract performance for compliance with terms and conditions and funding and work with appropriate personnel to resolve any issues.
  • Provide inter-department contract status reports to WhiteFox's Executives and various WhiteFox departments

Qualifications

  • Preferred: A Juris Doctor (J.D.) degree from an accredited college/university is preferred, however, candidates with a B.S. Degree in Business or other relevant disciplines will also be considered.
  • Minimum 7-10+ years of progressive experience in domestic, international and commercial contracting.
  • Experience with various export control laws and regulations to include U.S. International Traffic in Arms Regulations (ITAR) and U.S. Export Administration Regulations (EAR).  
  • Extensive experience proposing, negotiating and administering complex contracts and agreements.
  • Working knowledge of Federal and DoD Procurement Regulations (FAR/DFARS) and the Uniform Commercial Code (UCC).  Working knowledge of FAA procurement policies desired.
  • Proficiency in MS Office applications (Excel, PowerPoint, Word, etc.)
